All Things Food Fair Vendor Terms and Conditions

Terms and Conditions (“Terms”)

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before participating in the All Things Food Fair (the “Service”) produced and brought to you by Food Critic Live.

 

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users and others who access or use the Service. All visitors and users who are Businesses or Companies (Exhibitors) shall hereinafter be referred to as the “Client”

 

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

 

1. Registration

To access and use the Service, the Client must register for a booth by providing full legal Business and/or Company name, current address, phone number, valid email address, and any other information indicated as required.

  1. The Client acknowledges that the Service will use the email address provided at registration or as updated by the Client from time to time as the primary method of communication.
  2. A breach or violation of any term in the Terms Of Service as determined in the sole discretion of the Service may result in an immediate termination of the Client(s) booth.

 

2. False, Inappropriate, or Misleading products/services

  1. 1. The Client agrees not to produce nor bring to the Fair any product or service or post any content about the Fair that is false and misleading or uses the Service in a manner that is fraudulent or deceptive.
  2. 2. The Client also agrees that they will not engage in any conduct that is abusive, threatening, defamatory, obscene, vulgar, or otherwise offensive.

 

3. Intellectual Property Rights

The Service does not claim any intellectual property rights over the materials the Client provide(s) to the Service. All logos the Client uploads remain theirs. The Service shall have the non-exclusive right and license to use the names, trademarks, service marks, and logos associated with the Client’s booth to promote the Fair.

 

4. Transactions and Fees

Fees for the Service will appear on an invoice, which will upload upon registration. All sales transactions made at the fair are to be received by the Client for items sold to the customer at the Fair. The Service will not receive any sales transactions on behalf of the Client.

 

5. Operational Guidelines

  1. The Clients menu should be attractive with discounts where applicable and possibly have exclusive offers for the Fair
  2. The Client is not allowed to share a booth. Any Client found guilty will be disqualified.
  3. All edible products must be freshly made and hygienically packed 4. All other products and utensils sold must be brand new and in good condition
  4. Registration will be done via the online portal of the Service only 6. The Client must complete their application within the time frame. Any application that is not completed will be deleted
  5. All other guidelines are specified in the All Things Food Fair Rules and Regulations document

 

6. Limitation of liability

The Service does not produce, store or inspect any of the food or items sold by the Client. The Service provides the location(venue) and the items in our marketplace are produced, listed and sold directly by the Client who are independent sellers. The Service does not make any warranties about the quality, safety or legality of items sold. Any legal claim related to an item bought will be directly laid against the seller of the item(the Client in question). The Service is released from any claims related to items provided through our Fair including defective items, misrepresentations by the Client or items that caused physical injury.

 

7. Errors, Inaccuracies and Omissions

The Service strives to be as accurate as possible. However, the Service does not warrant that all product descriptions, pricing or other information at the Fair are accurate, current or error free.

 

8. Force Majeure

The Service shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God (other than one arising from or related to directly or indirectly), government policy, strike, riots, protests, lock outs, accidents, war, fire, breakdown of plant or machinery. The Service shall be entitled to a reasonable extension of its obligations.

 

9. Severance

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall

continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

 

10.Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the law of Nigeria and the parties hereby submit to the exclusive jurisdiction of the Nigerian courts.

 

11.Changes

The Service reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material the Service will try to provide at least 20 days notice prior to any new Terms taking effect. What constitutes a material change will be determined at the Service sole discretion.
