Terms and Conditions (“Terms”)

 

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the www.foodcriticlive.com website (the “Service”) operated by Food Critic Live.

 

Your access to and use of the Service to enlist your Event is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service to Enlist their Event. All visitors and users who are Businesses or Companies or Individuals (Vendors) shall hereinafter be referred to as the “Client”

 

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

 

1. 1. Event Listing Terms

 

To access and use the Service to list an Event(s), the Client must register and upload all content by providing full legal Business and/or Company name, phone number, valid email address, event date, event address and all other information indicated as required.

1. i. The Client acknowledges that the Service will use the email address provide on registering the Event, from time to time as the primary method of communication.
2. ii. The Client is responsible for all activity and content such as Event image, contact number, event date, event arrangement and time amongst others in connection with their Event.

• iii. A breach or violation of any term in the Terms Of Service as determined in the sole discretion of the Service may result to an immediate termination of the Client(s) Event listing.

 

2. 2. False, Inappropriate, or Misleading content

 

2. i. The Client agrees not to upload any content that is false, perverted, pornographic and misleading or uses the Service in a manner that is fraudulent or deceptive.
3. ii. The Client also agrees that they will not post any content that is abusive, threatening, defamatory, obscene, vulgar or otherwise offensive.

 

 

3. 3. Intellectual Property Rights

 

The Service does not claim any intellectual property rights over the materials the Client provide(s) to the Service. All materials the Client uploads remains theirs. The Client can remove their Event at any time before the date of the event by requesting their upload to be deleted.

1. i. By uploading materials, the Client agrees to allow other internet users to view what the Client have/has publicly posted, to allow the Service to store and display and use the Clients materials and that the Service can at any time, review and delete all the materials submitted by the Client.
2. ii. The Client retains ownership over all materials that they upload. The Client is responsible for compliance of the materials with any applicable laws or regulations.

• iii. The Service shall have the non-exclusive right and license to use the names, trademarks, service marks and logos associated with the Clients Events to promote the Service.

 

 

4. 4. Transactions and Fees

 

The Event Listing fee is to be paid by the Client before the Service will  publish the Event. Should the Clients Event(s) be cancelled, there shall be no refunds or credits for this transaction. The Client is to independently conduct all other transactions for their Event such as sponsorship or gate fees amongst others. The Service will not be involved in any transaction on behalf of the Client.

 

5. 5. Limitation of liability

 

The Service does not make any warranties about the quality, safety of the Clients Event. Any legal claim related to the Clients Event will be directly laid against the Client in question. The Service is released from any claims related to the Client and their Event provided through our website, including misrepresentations by the Client or an Event that may cause physical injury or health implications.

 

7. 6. Errors, Inaccuracies and Omissions

 

The Service strives to be as accurate as possible. However, the Service does not warrant that all Event descriptions, images, pricing or other information on the listing are accurate, current or error free.

 

10. 7. Force Majeure

 

The Service shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God (other than one arising from or related to directly or indirectly), strikes, riots, protests, lock outs, accidents, war, fire, breakdown of plant or machinery. The Service shall be entitled to a reasonable extension of its obligations.

 

11. 8. Severance

 

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

 

12. 9. Governing Law

 

These Terms and Conditions shall be governed by and construed in accordance with the law of Nigeria and the parties hereby submit to the exclusive jurisdiction of the Nigerian courts.

 

13. 10. Changes

 

The Service reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material the Service will try to provide at least 20 days notice prior to any new Terms taking effect. What constitutes a material change will be determined at the Service sole discretion.
